Welcome to the online properties of Applied Membranes, Inc. These Terms of Use (“Terms”) govern your access to and use of any website, mobile site, online store, portal, or other digital service that is owned or operated by Applied Membranes, Inc., a California corporation headquartered in Vista, California (“Applied Membranes,” “AMI,” “we,” “us,” or “our”) (collectively, the “Sites”). By visiting or using any of the Sites, or by placing an order through the Sites, you agree to these Terms. If you do not agree, do not access or use the Sites.
Please read carefully. Among other provisions, these Terms include an arbitration agreement and a class action waiver that affect your rights.
1. Scope; Changes to These Terms
- Applicability: These Terms apply to all users of the Sites, including customers, distributors, channel partners, and visitors. Additional terms may apply to specific services, portals (such as distributor portals), sales, promotions, warranties, or programs. If there is a conflict, those specific terms control with respect to their subject matter.
- Updates: We may update these Terms at any time. Changes are effective upon posting, unless otherwise stated. Your continued use of the Sites after changes post constitutes acceptance. We will make reasonable efforts to notify you of material changes.

3. Online Store; Orders; Pricing; Availability
- Product Changes: We may revise product specifications, materials, components, part numbers, drawings, performance data, and availability without notice. Images and descriptions are illustrative and may differ from delivered items because of engineering updates or manufacturing tolerances.
- Industrial and Residential Products: Our catalog includes components and systems for residential, commercial, and industrial water treatment. Some products require professional installation, startup, or commissioning by a qualified technician. You are responsible for ensuring compatibility with your feed water quality, site utilities, local plumbing and electrical codes, and any required permits.
- Quotations: Quotes (if provided) are valid only for the period stated on the quote. If no period is stated, quotes expire after 30 days. Any typographical, clerical, or arithmetic errors may be corrected by us.
- Pricing: Prices shown on the Sites are subject to change without notice. We reserve the right to cancel or refuse orders arising from pricing errors or other material inaccuracies. Sales tax, use tax, VAT, duties, customs, brokerage fees, and similar charges, if applicable, are your responsibility unless we are legally required to collect and remit them.
- Availability: We cannot guarantee stock. We may limit quantities or split shipments. Lead times are estimates only.
- Order Acceptance: Your order is an offer to buy. We may accept, reject, or place on backorder at our discretion. An order confirmation acknowledges receipt but is not acceptance until we ship or otherwise indicate acceptance.
- Payment Processing: We may use third-party payment processors. Your payment information is subject to the processor’s terms and privacy practices as well as ours.

6. Accounts and Portals
- Registration: Some features require an account. We may approve, condition, or deny registration in our discretion. Keep your credentials confidential and accurate. You are responsible for activities under your account.
- Security: Notify us immediately of unauthorized access or suspected compromise. We may suspend or terminate accounts to protect users or systems.
7. Promotions, Coupons, and Rebates
- Terms: Promotional offers, coupon codes, and rebates are valid only as stated and only during the specified period. Offers generally cannot be combined and are not valid for prior purchases or for certain product categories (e.g., custom systems), unless expressly stated.
- Program Changes: We may modify or terminate any promotion or rebate at any time.
8. Resale; Authorized Channels
- Unauthorized Resale: Except as expressly approved by AMI in writing, such as through a distributor or reseller agreement, products purchased from the Sites are for end-use only and not for commercial resale. We may refuse or cancel orders suspected of unauthorized resale.
- Channel Integrity: Authorized distributors and OEM partners must comply with their separate agreements and all brand, warranty, and quality control requirements.
9. Technical Information; Suitability; Safety
- Product and Engineering Data: Performance data, flow rates, salt rejection, recovery, and similar specifications are typical values under standard test conditions and may vary based on feed water quality and operating parameters. You are responsible for validating that products are suitable for your application and for ensuring proper pretreatment, instrumentation, monitoring, commissioning, and maintenance.
- Installation and Use: Follow applicable codes, manuals, safety data sheets (SDS), and instructions. Improper installation or operation can result in property damage, personal injury, or product failure and will void warranties.
- Water Quality: No general representation is made that filtered or treated water will meet specific health or regulatory standards unless explicitly stated in writing for the configured system and site conditions. Routine testing and monitoring are your responsibility.
- Regulatory and Compliance: Some products may be certified to certain standards (e.g., NSF/ANSI) as noted on product materials. Certifications apply only to products as manufactured, not to system integrations or field modifications.
10. User Conduct and Acceptable Use You agree not to:
- Use the Sites for unlawful purposes or in violation of any law, regulation, or industry standard.
- Upload or transmit material that is harmful, deceptive, infringing, defamatory, obscene, harassing, or otherwise objectionable.
- Attempt to gain unauthorized access to systems or data, or to disrupt or degrade the Sites.
- Use automated tools such as bots or scrapers without our written permission, except for public search engines that follow robots.txt.
- Reverse engineer, copy, or create derivative works of the Sites, except as permitted by law.
- Post or transmit sensitive personal data on the Sites, such as payment card data, unless specifically requested by us through secure workflows.

12. Privacy
Your use of the Sites is subject to our Privacy Policy, which describes how we collect, use, and share information. By using the Sites, you consent to those practices.
13. Export Controls; Sanctions; Anti-Diversion
Products, software, and technology may be subject to U.S. export control and sanctions laws. You agree to comply with all applicable export, re-export, and import restrictions and not to use or transfer products for prohibited end uses (including certain military, nuclear, chemical/biological, surveillance, or maritime activities) or to prohibited destinations or parties.

16. Indemnification
You agree to defend, indemnify, and hold harmless AMI and its affiliates, directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Sites; (b) your violation of these Terms or applicable law; (c) your User Content; or (d) your misuse of any product.
17. Force Majeure
We are not liable for any delay or failure in performance due to events beyond our reasonable control, including acts of God, natural disasters, epidemics, labor disputes, war, terrorism, civil disturbances, supply chain disruptions, carrier issues, power or internet outages, or governmental actions.
18. Termination; Suspension
We may suspend or terminate your access to the Sites or any feature at any time, with or without notice, for any reason. Upon termination, your right to use the Sites ceases immediately. Sections that by their nature should survive (e.g., IP, disclaimers, limits of liability, indemnity, arbitration) will survive.
19. Dispute Resolution; Arbitration; Class Action Waiver

- Informal Resolution: Before filing any claim, you agree to first try to resolve the dispute informally by sending written notice describing the dispute to: Legal Department, Applied Membranes, Inc., 2450 Business Park Dr., Vista, CA 92081, USA. If the dispute is not resolved within 60 days after our receipt of your notice, either party may commence arbitration as set forth below.
- Arbitration Agreement: Except for the exclusions below, any dispute, claim, or controversy between you and AMI arising out of or relating to the Sites, products purchased from AMI, these Terms, or our relationship, shall be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures (with Expedited Procedures), before a single arbitrator. If JAMS is unavailable, the dispute will be administered by another nationally recognized arbitration provider under substantially similar rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
- Location; Procedure: Hearings may be conducted by video conference or, if an in-person hearing is required, in San Diego County, California, unless otherwise agreed. The arbitrator will apply California law (without regard to conflicts rules) and will have the authority to award any relief available in court.
- Fees: Each party will pay its own fees and costs, subject to the applicable arbitration rules and any statutory fee-shifting provisions.
- Small Claims; IP: Either party may bring an individual action in small claims court within its jurisdictional limits. Either party may seek injunctive or other equitable relief in court for claims involving intellectual property or trade secrets.
- Class/Collective Action Waiver: To the fullest extent permitted by law, disputes will be conducted only on an individual basis and not on a class, collective, consolidated, or representative basis. The arbitrator may not consolidate claims or preside over any form of representative proceeding.
- Severability: If the class/collective waiver is found unenforceable as to any claim, then that claim shall proceed in court, but the remaining claims shall be arbitrated.

21. International Users
The Sites are controlled from the United States and are intended primarily for U.S. users. You are responsible for compliance with local law. We make no representation that the Sites or products are appropriate or available for use in other jurisdictions, and access from territories where the content or products are illegal is prohibited.
22. Children
The Sites are not intended for children under 13. If you are under the age of majority in your jurisdiction, use the Sites only with the consent and under the supervision of a parent or legal guardian.
23. Severability; No Waiver; Assignment
If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. No waiver of any term is a continuing waiver. We may assign these Terms without notice. You may not assign your rights or obligations without our prior written consent.
24. Entire Agreement; Order of Precedence
These Terms, together with any applicable sales documents (e.g., quotations, acknowledgments, invoices), written warranties, and policies expressly referenced herein, constitute the entire agreement between you and AMI regarding the subject matter and supersede all prior or contemporaneous communications. If there is a conflict between these Terms and a signed agreement with AMI, the signed agreement controls.
25. Governing Law and Venue
Except to the extent preempted by federal law or specified otherwise in Section 19, these Terms are governed by the laws of the State of California, without regard to conflict of laws rules. Subject to the arbitration provisions above, the exclusive venue for any court action shall be the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction in such courts.
Sales Terms Addendum (for B2B customers, as applicable)
26. Payment Terms:
Unless otherwise stated in a quotation or invoice, payment is due at checkout for online purchases. For approved credit accounts, standard terms are net 30 days from invoice date. Late payments may accrue interest at the lesser of 1.5% per month or the maximum allowed by law.
27. Credit Approval:
All shipments and performance are subject to credit approval. We may modify or withdraw credit and require advance payment or security at any time.
28. Inspection and Acceptance:
You must inspect and notify us of nonconforming goods within 10 days of delivery. Failure to notify constitutes acceptance.
29. Tooling; Drawings:
Any tooling, fixtures, firmware, software, and design files supplied or developed by AMI remain AMI property unless expressly transferred in a signed writing.
30. Compliance:
You are responsible for compliance with local codes, permits, and site conditions; for providing utilities (power, water, drains); and for safe access for installation or service.
31. Field Service:
If requested and available, field service is billed at prevailing rates plus travel, lodging, and expenses, unless otherwise agreed in writing.
32. Insurance and Safety:
You must provide a safe work environment and required site orientation for AMI personnel. AMI may stop work if conditions are unsafe.
33. Custom Systems:
Designs are based on information you supply. Material changes to feedwater characteristics or site conditions may require change orders with price and schedule adjustments.
